This course is designed to give graduates a thorough grounding in corporate governance, vital legal regulation governing commerce and finance. It is accredited by the Institute of Chartered Secretaries and Administrators (ICSA) and will be of particular interest to those wanting a professional qualification and career as a Chartered Secretary.

The LLM is designed for law and non-law graduates, practising lawyers and business professionals who wish to develop their knowledge and understanding of corporate governance and gain the Grad.ICSA qualification. Graduates will qualify as Chartered Secretaries and be entitled to use 'LLM' and 'Grad.ICSA' after their name. Upon qualification you will be equipped to apply for a variety of roles in both the private and the public sectors.

The course consists of 120 credits of taught units followed by a 60 credit dissertation. There are four 15-credit compulsory units and one 30-credit compulsory unit. The remaining 30 credits are provided by option choices or a foundation unit entitled Legal Approach to Business, which is compulsory for those students without a law degree.

Legal Approach to Business
This unit will provide you with an understanding of what law is about and will help you develop a sense of what it means to be bound by legal rules. Theories will be discussed and explored, and you will be encouraged to appreciate how they impact on the way law is administered in this country. It will also enhance your understanding of how and why law is at the centre of our democracy, and help develop your ability to understand complex concepts and to approach this subject in an objective and analytical way. It will cover introduction to business law and basic principles of contract, tort and trusts.

Employment Law
You will obtain a thorough understanding of the law relating to the contract of employment and job security, as well as practice applying this knowledge to problems within the work place. It is pre-requisite to the Tribunals and Simulated Tribunal units and for those wishing to work with the Employment Law Live Client Clinic.

Information Technology Law
This unit will provide you with detailed knowledge and understanding of the various laws that relate to information as a corporate resource, including the laws which govern management and storage of information such as data protection, the internet and ecommerce law. This will also include contracting and liability for website content.

Corporate Governance Theory, Law and Practice
This unit will give you an understanding of the laws which regulate companies in the United Kingdom including an understanding of the law relating to corporate governance and the economic principles that underpin it. You will come to understand the scope of company law protection and stakeholder debate, the corporate governance mechanisms, shareholder protection and remedies, market abuse and insider dealing.

Finance and Administration
This unit covers business finance, portfolio theory and corporate administration as required by the Institute of Chartered Secretaries and Administrators (ICSA). It will enable you to:
•understand the characteristics of a range of financial sources available to organisations
•explain the nature of the efficiency of the capital markets and the risk and return relationship
•assess the nature and importance of capital structure
•evaluate project appraisal methods
•understand the principles of working capital management
•evaluate the options available to organisations in the areas of pensions insurance and risk
•explain the company secretary's responsibilities in relation to management of physical corporate assets and company meetings

Financial Reporting and Corporate Taxation
This unit is essential learning for anyone that intends to work in a commercial environment. It goes from the basic aspects of financial reporting to an understanding of the main standards. It also provides a basic understanding of corporation tax, giving you a more rounded view of the financial environment.

Global Corporate Responsibility
This unit provides you with an understanding of the content of International Law and provides you with a critical appreciation of the relationship between International Legal Systems and International Human Rights. Amongst other things,you will assess whether or not a multi-national corporation acts within the scope of international hard and soft law governing corporate human rights compliance.

International Private Law
You will gain a comprehensive understanding of the problems of conflicts of law with an in-depth awareness of the areas of tort, contract and property law. You will also critically evaluate the methodologies and theoretical basis used to establish a choice of law or relevant jurisdiction in a particular case.

Tribunals Practice, Procedure and Theory
This unit will give you an understanding of the philosophy behind the creation of the tribunal as a means of dispute resolution. You will also gain practice and procedural knowledge of an employment tribunal, so that you re equipped with the tools and capability to bring a claim to such a tribunal on behalf of a client.

Expert Witness and Dispute Resolution
You will examine the range of formal and informal methods of dispute resolution available within the civil and criminal legal systems in this unit. It will provide you with an understanding of the conceptual themes, legal and procedural features relating to dispute resolution, and highlight the efficacy and effectiveness of each method. In particular, you will develop an understanding of both the legal context and practical protocols relating the role and function of the expert witness.

Simulated Tribunal
You will develop, practice and evaluate advocacy skills in a courtroom setting in this unit. You will also gain an understanding and appreciation of the practical constructs and applications relating to the legal framework governing tribunals and alternative dispute resolution settings, alongside the procedural issues and etiquette applicable within those contexts. You will build upon your knowledge of employment law and will be able make use of the mock courtroom.

Work-Based Learning
This unit provides a flexible curriculum to those who mix work and study. Learning is designed around the full experience and utilisation of the learning cycle and other traditional theories and practices. You will construct a learning contract in conjunction with an academic supervisor and an appropriate work place adviser, which is designed to encourage you to actively manage your own learning processes and apply academic theory and content to yourwork place.

Project units
These units help to provide a flexible curriculum and are linked to a substantive law unit. They enable you  to enhance you research and enquiry through providing an opportunity for you to conduct an independent research project more limited in size to that of the dissertation.

Dissertation
The dissertation is a compulsory unit and provides 60 of the 180 credits required. It provides you with the opportunity to produce a 15,000-word piece of work in an area that you find particularly interesting and can therefore be one of the most rewarding and enjoyable aspects of the course. A dissertation also indicates to employers that you are capable of independent research and can effectively construct and articulate complex arguments. As part of this unit, you will receive training in research methodologies and will learn how to write a high-quality dissertation.

 
教学与评估 Teaching and Assessment:
Teaching is delivered across two semesters for full-time students. Learning is student-centred and you will be regularly directed to undertake independent study. Participation is an essential element of the Master's programme and much time will be devoted to individual and group problem solving. The taught courses build on the research strengths of the course team, and discussion and debate will be encouraged.

All students are able to select a subject of their own choice to research on which they will then write a dissertation. A supervisor will be appointed to support your dissertation work.
